Attorney – Banking and Finance Group – Detroit Office – Full Time

Criteria:

Seeking a lawyer with one or more years of experience in commercial finance, secured transactions, real estate finance and/or corporate transactional matters. Experience with cross border transactions beneficial (but not required).

Admission to the Law Society of Ontario is required, as well as admission to the State Bar of Michigan or State Bar of California. Applicants licensed to practice in other states should have the requisite qualifications to waive into the State Bar of Michigan. Candidates must be legally authorized to work in the United States on a permanent basis. Verification of employment eligibility will be required at the time of hire. Visa sponsorship is not available for this position, TN visa holders may be considered. Excellent academic credentials required.

Job Description:

Represent banks, other financial institutions, and borrowers in connection with structuring and documenting U.S. domestic, Canadian domestic and cross-border loans (single-bank and syndicated).

Work with supervising U.S. attorneys and/or Ontario lawyer, as applicable, on commercial loan, commercial real estate finance, and equipment leasing matters.  Primary responsibilities include (i) drafting and negotiation of loan and equipment lease documents, (ii) reviewing corporate due diligence (including UCC and PPSA lien searches, organizational documents, certificates of good standing, certificates of status, and litigation searches) and real estate due diligence (including review of title documents, PIN searches and surveys), (iii) assisting with transaction closings, and (iv) performing legal research.
