Matthew Slipchuk represents business clients in connection with complex transactions and general corporate matters. He has particular experience advising on the tax aspects of M&A transactions.
His M&A experience includes providing buy-side tax due diligence; buy-side transactional tax structuring; reviewing purchase agreements and related transactional documents; drafting due diligence reports for use in obtaining representation and warranty insurance; cash-tax modeling of acquisitions; advising on internal corporate restructurings in preparation for mergers and acquisitions; fund formation structuring; tax opinion drafting identifying the transaction steps and the anticipated federal tax outcomes for each step; deal model review; sell-side transactional structuring; sell-side internal structuring; and legal entity rationalization.
Before joining Bodman he practiced as a Senior Associate in the Chicago office of a global accounting firm where he represented large corporate clients and private equity firms as a transactional tax advisor. He participated in more than 70 successful M&A transactions ranging in size from $25 million to $24 billion involving businesses in the healthcare, defense, SaaS, and general manufacturing industries, among others.
As a law student, Matthew served as a summer extern with the City of Chicago Law Department and as a law clerk with two Chicago-area business law firms. As a 3L he was President of the DePaul University School of Law Student Bar Association.
