Annalise Lekas Surnow represents business and healthcare clients in connection with corporate law matters, complex corporate and commercial transactions, including mergers & acquisitions, and regulatory compliance matters. Her experience spans multiple market sectors with a particular focus on the healthcare industry.
Annalise represents a wide range of healthcare clients including hospitals, medical practices and other healthcare providers, long-term care facilities, management services organizations and clinical research organizations. Annalise advices clients on a wide range of healthcare regulatory matters: corporate governance, including corporate formation and the corporate practice of medicine, state-specific regulatory matters and scope of practice regulations, including Certificate of Need regulations, professional licensure matters and the delegation and oversight of medical responsibilities to advance practice practitioners, federal regulations, such as fraud and abuse, HIPAA, Medicare and FDA clinical research regulations and protections for human subjects and related compliance matters.
Annalise has also been involved in all aspects of M&A transactions in the healthcare industry as well as other market sectors. Annalise has dealt with transaction structure and regulatory matters in addition to drafting and negotiating purchase and sale agreements.
Representative matters include:
- Representing nursing homes, pharmacies and other healthcare businesses in the sale of their business
- Representing physician practice groups in the sale of their practices to private equity-backed management service organization.
- Review and preparation of Business Associate Agreements, HIPAA Authorizations, Privacy Policies and other HIPAA-related documentation and compliance policies.
- Review and preparation of Collaborative Agreements with Advance Practice Practitioners.
- Assist with Certificate of Need applications, related forms and compliance matters for opening new surgery centers or obtaining MRI machines.
- Negotiate Study Agreements with pharmaceutical partners and prepare Clinical Trial Agreements, Subawards, PI Agreements, Material and Data Transfer Agreements and related documentation for the conduct of Clinical Trials and scientific research.
Before Bodman, Annalise worked as a corporate legal extern for a nationwide voluntary health organization and as a former intern for U.S. Representative Tim Walberg in Washington, DC.
